1. Agreement to Terms

By accessing or using ASOlutions' website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

ASOlutions provides computational antisense oligonucleotide (ASO) design consulting services, including:

  • In silico ASO candidate design and optimization
  • Target gene analysis and selection
  • Off-target specificity screening
  • Chemistry and modification recommendations
  • Design reports and documentation

Important: We provide computational predictions only. We do NOT synthesize, test, or manufacture ASOs. All designs require experimental validation.

3. User Responsibilities

By using our services, you agree to:

  • Provide accurate and complete information about your project
  • Use our services for lawful purposes only
  • Not use ASO designs for illegal activities or bioweapon development
  • Comply with all applicable laws and regulations
  • Respect intellectual property rights
  • Maintain confidentiality of proprietary information

4. Intellectual Property

4.1 Client Ownership

Upon full payment, clients own all rights to the specific ASO sequences designed for their projects.

4.2 ASOlutions IP

ASOlutions retains all rights to our platform, algorithms, methodologies, and general expertise. Nothing in these terms grants you rights to our proprietary technology.

4.3 Website Content

All content on this website (text, images, logos, graphics) is owned by ASOlutions and protected by copyright laws. You may not reproduce, distribute, or create derivative works without permission.

5. Payment Terms

  • Fees are quoted in USD unless otherwise specified
  • Standard payment: 50% upfront, 50% upon delivery
  • Invoices are due within 30 days unless otherwise agreed
  • Late payments may incur interest at 1.5% per month
  • All fees are non-refundable once work has begun, except as specified in individual agreements

6. Disclaimers

IMPORTANT DISCLAIMERS:

  • No Guarantee of Efficacy: ASO designs are computational predictions. We cannot guarantee that any ASO will achieve the desired biological effect.
  • No Medical Claims: Our services are for research purposes only. We do not provide medical advice or therapeutic recommendations.
  • Experimental Validation Required: All designs must be validated experimentally before any conclusions can be drawn.
  • As-Is Basis: Services are provided "as is" without warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law:

  • ASOlutions' total liability shall not exceed the fees paid for the specific project
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any damages arising from the synthesis, testing, or use of ASO designs
  • We are not responsible for third-party services (synthesis providers, testing labs, etc.)

8. Indemnification

You agree to indemnify and hold harmless ASOlutions and its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these terms
  • Your synthesis, testing, or application of ASO designs
  • Any third-party claims related to your use of our deliverables

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged during the course of business. Standard NDA terms apply unless a separate NDA is executed. See our separate NDA template for detailed terms.

10. Termination

Either party may terminate services with written notice. Upon termination:

  • Client pays for work completed to date
  • ASOlutions delivers work in progress
  • Confidentiality obligations survive
  • Intellectual property provisions survive

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Argentina, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, and if necessary, arbitration in Buenos Aires, Argentina.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of our services after changes constitutes acceptance of the modified terms.

13. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
